Terms of Use / Service Agreement

These Terms of Use (“Terms”) constitute a legally binding agreement between Adekoo Billing (“Adekoo Billing,” “We,” “Us,” or “Our”), an automated invoice processing company, and You, the individual or entity (“Client,” “User,” “You,” or “Your”) utilizing our services to simplify invoicing for your agency.
By accessing, signing up for, or using any of Adekoo Billing’s services, you signify that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you do not agree to these Terms, you may not access or use our services.
Please read these Terms carefully before using our services.
1. Acceptance of Terms
1.1. Agreement: By checking any “I agree” box, clicking any “Sign Up,” “Subscribe,” “Get Started,” or similar button, or otherwise accessing or using any part of Adekoo Billing’s services, you signify your unreserved acceptance of these Terms.
1.2. Eligibility: You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use our services. If you are using the services on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms.
2. Description of Services
Adekoo Billing provides an automated invoice processing solution that includes, but is not limited to:
- Generation and sending of invoices to your designated clients.
- Tracking of invoice statuses (e.g., sent, viewed, paid, overdue).
- Integration with specified payment gateways for collecting payments.
- Reporting and analytics related to invoicing.
- Important Caveat: Adekoo Billing is an invoice processing service. We do not provide financial advice, accounting services, tax advice, or debt collection services. Our services are strictly for the automation and management of your invoicing process.
3. Account Registration and Access
3.1. Account Creation: To use Adekoo Billing services, you must register for an account, providing accurate and complete information as requested (e.g., agency name, contact details, billing information). You agree to keep this information updated.
3.2. Account Security: You are solely responsible for maintaining the confidentiality of your account login credentials (username and password) and for all activities that occur under your account. You agree to notify Adekoo Billing immediately of any unauthorized use of your account or any other breach of security. Adekoo Billing will not be liable for any loss or damage arising from your failure to comply with this security obligation.
3.3. No Sharing: Your account is for your exclusive use. You may not share your account details or allow others to use your account without express written permission from Adekoo Billing.
4. Client Responsibilities and Obligations
4.1. Accuracy of Information: You are solely responsible for the accuracy, legality, reliability, and appropriateness of all data and information you input into Adekoo Billing, including client details, service descriptions, pricing, tax information, and payment terms. Adekoo Billing processes the information as provided by You.
4.2. Compliance with Laws: You warrant that your use of Adekoo Billing services will comply with all applicable local, state, national, and international laws and regulations related to invoicing, taxation, data protection, consumer rights, and e-commerce. This includes, but is not limited to, laws regarding:
- Invoicing Requirements: Ensuring your invoices meet the legal requirements of your and your clients’ jurisdictions.
- Data Protection: Ensuring you have the necessary consent or legal basis to collect and process your clients’ personal and financial data for invoicing purposes and submit it to Adekoo Billing.
- Tax Compliance: Ensuring accurate application of taxes, if any. Adekoo Billing is not responsible for calculating, reporting, or remitting any taxes on your behalf.
4.3. Prohibited Conduct: You agree not to use Adekoo Billing services for any purpose that is unlawful or prohibited by these Terms, including but not limited to:
- Processing invoices for illegal goods or services.
- Engaging in fraudulent activities, money laundering, or other financial crimes.
- Uploading or transmitting any malicious code, viruses, or other harmful software.
- Interfering with the proper working of the services.
- Attempting to gain unauthorized access to any portion of the services or our systems.
- Using the services to generate or send unsolicited commercial communications (spam).
4.4. Client Agreement: You are solely responsible for having a legally binding agreement (e.g., Terms of Service, Service Agreement) with your own clients (the recipients of your invoices) that governs the services you provide them, their payment obligations, and your invoicing process. Adekoo Billing is not a party to your agreements with your clients.
5. Fees, Payments, and Service Tiers
5.1. Service Fees: Your use of Adekoo Billing services is subject to the fees associated with the pricing plan You select. Details of each plan, including features, usage limits, and pricing, are available on our website at www.adekoo.com.
5.2. Billing Cycle: Fees will be billed on a monthly recurring basis, as selected during your subscription.
5.3. Payment: You authorize Adekoo Billing, or its designated payment processor, to charge your chosen payment method for all applicable fees. You agree to provide accurate and updated payment information.
5.4. Changes to Fees: Adekoo Billing reserves the right to change its fees and pricing plans at any time. We will provide You with a reasonable 30 days notice of any price changes. Your continued use of the services after the price change constitutes Your agreement to pay the new amount.
5.5. Refunds: All fees are non-refundable once paid, unless otherwise explicitly stated in writing by Adekoo Billing.
5.6. Late Payments and Suspension: Failure to pay fees when due may result in the suspension or termination of your Adekoo Billing account and access to our services. We reserve the right to charge late fees or interest on overdue amounts as permitted by law.
6. Data Management and Privacy
6.1. Privacy Policy: Our collection, use, processing, and storage of Your and Your clients’ data are governed by our Privacy Policy. By using our services, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy.
6.2. Data Controller vs. Processor:
- You (the Client) are the Data Controller: When you upload or input data about your clients (the invoice recipients) into Adekoo Billing, you are acting as the “Data Controller” for that data. You determine the purposes and means of processing that data.
- Adekoo Billing is the Data Processor: Adekoo Billing acts as a “Data Processor” on your behalf, processing the data only as instructed by you for the purpose of providing the invoice processing services.
- You acknowledge that Adekoo Billing will process personal data (e.g., names, email addresses, billing addresses of your clients) in order to send invoices and facilitate payments as per your instructions.
6.3. Data Security: Adekoo Billing employs industry-standard security measures to protect the data you entrust to us. However, no data transmission over the internet or electronic storage method is 100% secure. You acknowledge this inherent risk.
6.4. Data Retention: We retain your data as necessary to provide services, comply with legal obligations, resolve disputes, and enforce our agreements. Upon termination of your account, details regarding data deletion or anonymization are provided in our Privacy Policy.
7. Intellectual Property
7.1. Adekoo Billing’s IP: All intellectual property rights in the Adekoo Billing platform, software, designs, algorithms, methodologies, documentation, and underlying technology are owned by Adekoo Billing or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to use our services solely for the purpose of automated invoice processing in accordance with these Terms.
7.2. Your Data/Content: You retain all intellectual property rights in the data and content you input into Adekoo Billing. You grant Adekoo Billing a worldwide, royalty-free, non-exclusive license to use, reproduce, process, and display your data solely for the purpose of providing the services and as outlined in our Privacy Policy.
8. Third-Party Integrations and Services
8.1. Adekoo Billing may integrate with or utilize third-party services (e.g., payment gateways, email providers, hosting services) to provide its functionality. You acknowledge that your use of such third-party services will be subject to their respective terms of use and privacy policies. Adekoo Billing is not responsible for the practices of these third parties.
8.2. Payment Gateways: While Adekoo Billing facilitates the invoicing process, actual payment processing is handled by third-party payment gateways. Adekoo Billing does not store sensitive payment card information on its servers. Any issues related to payment processing, chargebacks, or refunds should be directed to your chosen payment gateway provider.
9. Disclaimer of Warranties
9.1. “AS IS” Basis: Adekoo Billing services are provided on an “AS IS” and “AS AVAILABLE” basis, without any warranties of any kind, either express or implied.
9.2. No Guarantees: Adekoo Billing does not warrant that:
- The services will meet Your specific requirements.
- The services will be uninterrupted, timely, secure, or error-free.
- The results that may be obtained from the use of the services will be accurate or reliable.
- The quality of any products, services, information, or other material purchased or obtained by you through the services will meet your expectations.
- Any errors in the service will be corrected.
9.3. No Financial/Legal Advice: Adekoo Billing does not provide financial, accounting, tax, or legal advice. You are responsible for ensuring that your invoicing practices and all information you input into Adekoo Billing comply with all applicable laws and regulations.
10. Limitation of Liability
10.1. To the fullest extent permitted by applicable law, in no event shall Adekoo Billing, its affiliates, directors, employees, agents, partners, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the services.
- Any conduct or content of any third party on the services.
- Any content obtained from the services.
- Unauthorized access, use, or alteration of your transmissions or data.
- Reliance on any information provided by Adekoo Billing.
- Any errors or inaccuracies in the data provided by You.
- Any issues arising from your relationships with your clients or third-party payment gateways.
10.2. In no event shall Adekoo Billing’s total aggregate liability to you for all damages, losses, and causes of action (whether in contract, tort, including negligence, or otherwise) exceed the amount paid by you to Adekoo Billing for the specific services giving rise to the liability in the twelve (12) months preceding the date of the claim, or the sum of One Hundred US Dollars ($100.00), whichever is greater.
11. Indemnification
You agree to defend, indemnify, and hold harmless Adekoo Billing and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of:
- Your use and access of the services.
- Your breach of any of these Terms.
- Your violation of any rights of a third party, including intellectual property rights or privacy rights.
- Any data or content you submit or process through Adekoo Billing that is inaccurate, illegal, or infringes upon the intellectual property or other rights of a third party.
- Any dispute between you and your clients arising from or related to invoices processed by Adekoo Billing.
- Your failure to comply with applicable laws and regulations related to invoicing, taxation, or data protection.
12. Term and Termination
12.1. Term: These Terms remain in full force and effect while you use Adekoo Billing services.
12.2. Termination by You: You may terminate your Adekoo Billing account at any time by following the instructions within your account dashboard or by contacting our support team. Termination does not relieve you of any outstanding payment obligations.
12.3. Termination by Adekoo Billing: We may terminate or suspend your access to all or part of the services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Grounds for termination include, but are not limited to:
- Violation of these Terms.
- Failure to pay any fees when due.
- Engaging in fraudulent or illegal activities through the service.
- Requests by law enforcement or other government agencies.
- Security concerns or suspected unauthorized access.
12.4. Effect of Termination: Upon termination, your right to use the services will immediately cease. Adekoo Billing may delete your data in accordance with our data retention policy. Sections involving fees, intellectual property, disclaimers, limitation of liability, indemnification, and governing law will survive any termination of these Terms.
13. Governing Law and Dispute Resolution
13.1. These Terms shall be governed and construed in accordance with the laws of the State of Oklahoma, United States, without regard to its conflict of law provisions.
13.2. Informal Resolution: Any dispute or claim arising out of or relating to these Terms shall be first subjected to good faith negotiations between the parties for a period of not less than thirty (30) days from the date the dispute arose.
13.3. Binding Arbitration: If the parties are unable to resolve the dispute informally, any remaining dispute, controversy, or claim arising out of or relating to these Terms or the breach thereof, shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
13.4. Waiver of Class Action: You agree that any arbitration or proceeding shall be limited to the dispute between Adekoo Billing and You individually. To the full extent permitted by law, (a) no arbitration or proceeding shall be joined with any other; (b) there is no right or authority for any dispute to be arbitrated or resolved on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.
14. Changes to These Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the services.
15. Miscellaneous
15.1. Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Adekoo Billing regarding the use of the services.
15.2. Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect.
15.3. Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Adekoo Billing’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
15.4. Assignment: You may not assign any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
15.5. Headings: The headings used in these Terms are for convenience only and shall not limit or otherwise affect these Terms.
